Supplier Code of Conduct

1. Overview

This Supplier Code of Conduct (“Code”) sets out the minimum mandatory standards expected of all suppliers, partners, contractors, and third parties (“Suppliers”) engaged by Rebasoft Limited (“Rebasoft”, “we”, “us”, or “our”).

Suppliers must operate in a manner consistent with:

  • Applicable laws and regulations

  • Ethical and responsible business practices

  • Rebasoft’s standards for security, integrity, and governance

Compliance with this Code forms part of the conditions of doing business with Rebasoft.

2. Scope

This Code applies to all Suppliers providing goods or services to Rebasoft, including:

  • Technology providers

  • Service providers

  • Consultants and contractors

  • Business partners

Suppliers are responsible for ensuring that:

  • Their employees comply with this Code

  • Their subcontractors and supply chain adhere to equivalent standards

3. Legal and Regulatory Compliance

Suppliers must:

  • Comply with all applicable laws and regulations

  • Maintain all required licences, registrations, and authorisations

  • Comply with applicable data protection laws, including UK GDPR where relevant

4. Ethical Business Practices

Suppliers must:

  • Conduct business with integrity, honesty, and transparency

  • Avoid conflicts of interest or disclose them where unavoidable

  • Prohibit bribery, corruption, and unethical practices

  • Comply with all applicable anti-bribery and anti-corruption laws

5. Labour Standards and Human Rights

Suppliers must:

  • Prohibit modern slavery, forced labour, and human trafficking

  • Comply with employment and labour laws

  • Provide safe and fair working conditions

  • Respect the dignity, rights, and well-being of workers

Suppliers must align with the principles set out in the:

6. Information Security and Data Protection

Suppliers must:

  • Implement appropriate technical and organisational measures

  • Protect Personal Data in accordance with applicable data protection laws

  • Ensure the confidentiality, integrity, and availability of information

  • Notify Rebasoft without undue delay of any:

    • Security incident

    • Data breach

    • Suspected compromise

Where applicable, Suppliers must comply with:

  • Contractual data protection obligations

  • Rebasoft security requirements

7. Confidentiality

Suppliers must:

  • Protect confidential information provided by Rebasoft

  • Use such information only for authorised purposes

  • Prevent unauthorised access, disclosure, or misuse

8. Environmental Responsibility

Suppliers are expected to:

  • Operate in an environmentally responsible manner

  • Comply with applicable environmental laws

  • Take reasonable steps to minimise environmental impact

Suppliers should align with the:
Rebasoft Environmental & Sustainability Statement

9. Subcontracting

Suppliers must:

  • Ensure subcontractors comply with this Code

  • Flow down equivalent contractual obligations

  • Remain fully responsible and liable for subcontractor actions

Use of subcontractors does not reduce Supplier accountability.

10. Monitoring, Audit and Compliance

Rebasoft reserves the right to:

  • Request evidence of compliance with this Code

  • Conduct risk-based assessments or reviews

Where non-compliance is identified, Rebasoft may:

  • Require corrective action

  • Suspend services

  • Terminate the relationship

Suppliers must cooperate with reasonable compliance requests.

11. Reporting Concerns

Suppliers are encouraged to report concerns relating to:

  • Ethical breaches

  • Security incidents

  • Legal or regulatory non-compliance

Reports may be made confidentially via:

legal@rebasoft.net

All reports are:

  • Treated seriously

  • Investigated appropriately

12. Continuous Improvement

Suppliers are expected to:

  • Continuously improve their practices

  • Monitor risks within their operations and supply chains

  • Align with evolving legal, regulatory, and industry standards

13. Updates to This Code

Rebasoft may update this Code periodically.

The latest version will be made available on the Rebasoft website.
